Get the structure right

Shares, share classes and control

How your shares are set up at formation shapes how you take profit, bring in others and pass the company on later. It is far easier to get right at the start than to change afterwards.

We advise on ordinary shares, alphabet shares where dividends need to be split flexibly between owners or family, and we identify and record your people with significant control correctly from the outset.

What we sort at formation

Ordinary and alphabet share classes
Shareholdings split the way you need
People with significant control identified and filed
Ready for tax-efficient dividends from day one
Identity verification included

Under the new ECCTA rules, every director and person with significant control must verify their identity with Companies House. As a registered ACSP we handle this for you as part of the formation.

FAQ

Common questions

What are alphabet shares, and do I need them?
Alphabet shares are separate classes of share (A, B, C and so on) that let dividends be paid at different rates to different shareholders. They are useful where owners, family members or spouses need flexibility in how profits are split. We advise whether they suit your situation, rather than defaulting to a single class.
What is a person with significant control (PSC)?
A PSC is anyone who ultimately owns or controls the company, usually someone holding more than 25% of the shares or voting rights. Companies House requires PSCs to be identified and recorded, and under the new rules each one must verify their identity. We handle both.
Do the directors and PSCs have to verify their identity?
Yes. Under the new ECCTA rules every director and person with significant control must verify their identity with Companies House. As a registered ACSP we complete this for you as part of the formation.
Can you set up payroll and VAT at the same time?
Yes. We can set up payroll alongside the formation so you can pay yourself or staff from day one, and we register the company for VAT once its UTR has been issued by HMRC.
Can I keep my home address off the public record?
Yes. With our registered office address service, your correspondence comes to us and your home address is kept off the public Companies House record.
What is included in the fee?
The fixed fee covers forming the company and the £100 Companies House incorporation fee, so there is nothing extra to pay to get your company set up. We confirm the exact figure at your free consultation.
